Regulation FD Disclosure.

On May26, 2017, Aerie Pharmaceuticals, Inc. (the Company) issued
a press release announcing that it has priced its registered
underwritten public offering of $75million of shares of its
common stock at a price to the public of $53.75 per share, which
is expected to result in, together with the completion and full
utilization of its at-the-market program of $50million of shares
of its common stock, total gross proceeds of $125million. A copy
of the press release is furnished as Exhibit 99.1 hereto and is
hereby incorporated by reference into this Item 7.01.

The information in this Item 7.01 (including Exhibit 99.1) is
