Item 8.01. Other Events.

On December 1, 2016, Xcel Energy Inc., a Minnesota corporation
(the Company), issued $300.0 million in aggregate principal
amount of 2.60% Senior Notes, Series due March 15, 2022 and
$500.0 million in aggregate principal amount of 3.35% Senior
Notes, Series due December 1, 2026 to an Underwriting Agreement,
dated November 28, 2016, by and among the Company and Barclays
Capital Inc., Morgan Stanley Co. LLC and MUFG Securities Americas
Inc., as representatives of the underwriters named therein. The
notes are being issued to the registration statement on Form S-3
(File No. 333-203664). A prospectus supplement relating to the
offering and sale of the notes was filed with the Securities and
Exchange Commission on November 29, 2016. The notes will be
governed by the Companys Indenture, dated as of December 1, 2000,
as supplemented, between the Company and Wells Fargo Bank,
National Association, as trustee, and the Supplemental Indenture
No. 10, dated as of December 1, 2016.
This Current Report on Form 8-K is being filed to report as
exhibits certain documents in connection with that offering and
sale for incorporation by reference into the registration
statement.

Its segments are regulated electric utility, regulated natural gas utility and all other.
