Item 7.01 Regulation FD Disclosure.

On December 12 and 13, 2016, Brian Bird, vice president and chief
financial officer, and Travis Meyer, director – investor relations
and corporate planning, of NorthWestern Corporation d/b/a
NorthWestern Energy (NYSE: NWE) (the Company), will be in New York
and Boston conducting one-on-one meetings with analysts, investors,
and other third parties. During these meetings, they will be
providing certain information concerning the Company in a slide
presentation and will be reaffirming that the Company’s updated
earnings guidance for 2016 is in the range of $3.20 to $3.35 per
diluted share and providing preliminary earnings guidance for 2017
to be in the range of $3.30 to $3.50>per diluted share.
