Item 8.01 Other Events.

On December 2, 2016, DirectCash Payments Inc., a corporation organized under the laws of the Province of Alberta (“DCP”), announced that its shareholders had approved the proposed acquisition of DCP by Cardtronics Holdings Limited, a private company incorporated under English law, and a wholly owned subsidiary of Cardtronics plc (the “Company”), to the previously announced Arrangement Agreement dated October 3, 2016 (the “Arrangement”).  The DCP shareholders approved the Arrangement by passing a special resolution in favor of the Arrangement at a special meeting of DCP shareholders held on December 2, 2016.

Subject to the satisfaction or waiver of all conditions precedent to the Arrangement, the Company anticipates completing the Arrangement in January 2017.
